We have advised on transactions involving shares, equity interests and other types of titles to interests in legal entities, as well as organised parts of enterprises and selected assets. Our clients include investment firms, private equity and venture capital funds as well as owners who have decided to sell their business, or who are seeking investors.

We provide comprehensive legal representation by advising on each and every stage of the transaction process, selecting and implementing the solutions that are best suited to the needs of our clients. We assist with the preparation of the sale or acquisition process. In cooperation with tax advisors we develop and implement entry or exit structures. We advise on everything from signing a letter of intent, through the due diligence process, to drafting transaction documentation and negotiating their terms. Our advice also covers financing and insurance contracts related with acquisitions. We represent clients in filings submitted to the relevant administrative bodies for transaction permits, and we provide support after the agreement has been concluded, specifically in terms of any claims related with determining the price and liability for representations & warranties given in connection with the transaction.
